FIRST AMENDMENT TO PLAN SUPPORT AGREEMENTPlan Support Agreement • November 19th, 2015 • Massachusetts
dated as of November 19, 2015, is entered into by and among: (a) Charles A. Dale III, in his capacity as the duly appointed chapter 11 trustee (the “Trustee”) in the chapter 11 case of Buckingham Oil Interests, Inc. (the “Debtor”); and (b) each of the other parties executing the signature pages hereto (together with any of their respective successors and permitted assigns under this Agreement, each a “Supporting Investor” and, collectively, the “Supporting Investors”). The Trustee and the Supporting Investors are referred to herein as the “Parties” and individually as a “Party.” Capitalized terms not defined herein shall have the meanings provided in that certain Plan Support Agreement, dated as of October 26, 2015 (the “Agreement”).
