This PLAN SUPPORT AGREEMENT (as the same may be amended, modified or supplemented from time to time in accordance with the terms hereof, this “Agreement”), dated as of September 1, 2009, is entered into by and among (x) Freedom Communications Holdings, Inc., a Delaware corporation (“Holdings”), Freedom Communications, Inc., a Delaware corporation (the “Company”), each of the undersigned direct and indirect subsidiaries of the Company (collectively, with Holdings and the Company, the “Debtors”) and (y) each undersigned lender (each a “Consenting Lender” and together, the “Consenting Lenders”) under that certain Credit Agreement dated May 18, 2004 (as amended, modified or supplemented from time to time, the “Prepetition Credit Facility”) among the Company, Holdings, the lenders party thereto (collectively, the “Secured Lenders”) and JPMorgan Chase Bank, N.A., as administrative agent (in such capacity, the “Agent”).
