The parties acknowledge that this Note and a companion promissory note of even date herewith and referenced as Promissory Note and Security Agreement – UK collectively represent Exhibit A of the Asset Purchase Agreement of even date herewith (collectively the “Notes”). The parties hereby agree as follows:
