Subscription Video-on-Demand License Agreement • March 20th, 2014

This letter is to notify you that Licensor is modifying the list of ITR Features for the 2011 Slate Year for which it has exercised its option with respect to the non-exclusive Additional License Period described in Section 3.1.4(a) of Amendment #9 to Subscription Video-On-Demand License Agreement dated September 1, 2011 (the “2011 Extended Titles”). The list of 2011 Extended Titles for which the Additional License Period has been exercised was set forth in Schedule E attached to Amendment #16 to Subscription Video-On-Demand License Agreement dated April 18, 2012, and shall hereby be modified to remove “Elektra Luxx” and to add “The Grace Card”. We note that “The Grace Card” was initially mischaracterized as a DTV Feature in Amendment #16 (and therefore ineligible for the Additional License Period). However, it is in fact an ITR Feature with a U.S. box office of $2.4 million and Licensor has elected to include it as a 2011 Extended Title in place of “Elektra Luxx”.
