These Sales Terms and Conditions ("Agreement") apply to all sales of products and services by Cypress Semiconductor Corporation, a Delaware, USA corporation, or its wholly owned subsidiaries, including without limitation Spansion LLC (collectively, "Cypress") to the entity purchasing products or services ("Company"), unless authorized representatives of both Cypress and Company have executed and delivered to each other a separate written agreement governing the sale of products and services by Cypress to Company.
