Default exists under Section 8.1(a), 8.1(f) or 8.1(g); provided, further, however, that if the consummation of any such Limited Condition Acquisition will occur after the Amendment No. 2 DDTL Commitment Expiration Date pursuant to clause (b) above, such Amendment No. 2 DDTL Commitment Expiration Date shall be extended (solely with respect to the portion of the Amendment No. 2 DDTL Commitment which will be used to consummate such Limited Condition Acquisition) to the earlier to occur of: (i) the consummation of such Limited Condition Acquisition, (ii) the date that is five (5) Business Days after the date such Limited Condition Acquisition Agreement is terminated or expires in accordance with its terms and (iii) February 17, 2024.
