This Amended and Restated Management Employment Agreement (this “Agreement”) is entered into by and between Paul Eisman (“Manager”) and Alon USA GP, LLC, a Delaware limited liability company (“Employer” or “Company”), effective as of May 31, 2016, and amends and restates, in its entirety, that certain Management Employment Agreement (the “Original Agreement”), dated May 11, 2015, by and between Manager and the Company. Employer and Manager are sometimes referred to herein individually as a “Party” or collectively as the “Parties.”
