This Memorandum of Understanding - 3 (“MOU 3”) is entered into by and between Sony Music Entertainment (“SME”), UMG Recordings, Inc. (“UMG”), Warner Music Inc. (“WMG”) and the Recording Industry Association of America, Inc. (“RIAA”) on the one hand, and the National Music Publishers’ Association, Inc. (“NMPA”) and the undersigned music publishing companies, on the other hand (all foregoing entities referred to individually as a “Party” and collectively as “Parties”).
