("Agreement") is entered into effective as of August 12, 2014 (“Effective Date”), by and between the CITY OF CHULA VISTA, a chartered municipal corporation of the State of California ("City") and OTAY LANDFILL, INC., a Delaware Corporation ("Otay"). Allied Waste North America, Inc., a Delaware corporation ("Allied"), and Allied Waste Systems, Inc. dba Republic Services of Chula Vista (“Republic”), Affiliates of Otay, are also parties to this Agreement to the extent that they guaranty the performance of Otay’s obligations hereunder and as otherwise expressly provided herein. Allied, Republic and their Affiliates are sometimes collectively referred to herein as the “Otay Affiliates.” Otay, the Otay Affiliates and City are, from time to time, referred to collectively herein as the “Parties.”
