WHEREAS, the Developer will acquire unimproved property in the City of Crestview Hills, Kentucky, as more particularly described in Exhibit A hereto (collectively, the “Property”), and plans to develop the Property market rate multi-family residential apartments, together with related site amenities (the “Project”); and
