This Settlement Agreement (the “Agreement”) is made and entered into as of this 1st day of April, 2015, to be effective as of November 17, 2014 (the “Effective Date”) by and among BOARDWALK REGENCY CORPORATION d/b/a CAESARS ATLANTIC CITY (“Caesars” or “Landlord”) and PIER RENAISSANCE LP (“PRLP”), BARTON I.
