This Revolving Credit, Term Loan and Security Agreement dated as of November 23, 2010 by and among NYTEX FDF ACQUISITION, INC., a corporation formed under the laws of the State of Delaware (“Holdings”) and, upon consummation of the acquisition pursuant to the Acquisition Agreement (defined below), FRANCIS OAKS, L.L.C., a limited liability company formed under the laws of the State of Louisiana (“Francis Oaks”), FRANCIS’ DRILLING FLUIDS, LTD., a business corporation incorporated under the laws of the State of Louisiana (“Francis Drilling”; and together with Holdings and Francis Oaks, individually, each a “Borrower” and collectively, jointly and severally, the “Borrowers”), the financial institutions which are now or which hereafter become a party hereto (collectively, the “Lenders” and individually a “Lender”) and PNC BANK, NATIONAL ASSOCIATION (“PNC”), as agent for Lenders (PNC, in such capacity, together with its successors and assigns in such capacity, the “Agent”).
