This Consulting Services Agreement (the "Agreement") is effective August 1, 2021 by and between CAROLINA CARING, INC. ("Client") and CAPFINANCIAL PARTNERS, LLC, d/b/a CAPTRUST Financial Advisors, a North Carolina limited liability company, ("CAPTRUST"). Client retains CAPTRUST to provide the Services (as described below) in its capacity as an Investment Adviser firm registered with the Securities and Exchange Commission (the "SEC") under the Investment Advisers Act of 1940, as amended, (the "Advisers Act").
