This Support Agreement (this “Agreement”) is made and entered into as of August [●], 2020, by and among LATAM Airlines Group S.A. (“LATAM” or the “Company”), each shareholder of LATAM identified on the signature pages hereto (each an “Initial Shareholder”); [●], on behalf of [●], an investment fund incorporated and managed by [●], whose quota holders are one or more shareholders’ of LATAM for purposes of acting as a Tranche C Lender in the Credit Agreement (as this term is defined below)1 (the “Fund”), and any shareholder of LATAM that subsequent to the date hereof executes and delivers a joinder agreement (a “Joinder Agreement”) to this Agreement in the form of Exhibit A (each, an “Additional Shareholder”). The term “Shareholder” shall mean and include an Initial Shareholder, the Fund and an Additional Shareholder.
