DIR Contract No. DIR-CPO-4644 and this State & Local Government/Public Education Customer Agreement (collectively the “Agreement”), dated and effective the date last signed below (“Effective Date”), consisting of these general terms (“General Terms”) and Schedules, is a master agreement between Avaya Inc. (“Avaya”) and the undersigned Customer. The terms of this Agreement govern Customer’s purchase of Products and Services from Avaya. For purposes of this Agreement, Customer represents that it is an agency or department of a State, County or Municipal Government, or a public educational institution. In the event of a conflict in terms, DIR Contract DIR-CPO-4644 shall have precedence.
