This Data Privacy Agreement ("DPA") is entered into by and between the Icahn Charter School 1, 2, 3, 4, 5, 6 and 7 ("EA"), an Educational Agency (as defined under Article I below), and EDpuzzle, Inc., a Delaware corporation ("Contractor"), EA and Contractor, each a Party, and collectively, hereinafter referred to as the “Parties”. This DPA supplements the Service Agreement, as such term is defined in ARTICLE I below. To the extent that any terms contained in the Service Agreement, or any terms contained in any other document(s) attached to and made part of the Service Agreement, conflict with the other terms of this DPA, the terms of this DPA shall apply and be given effect.
