This Throughput and Deficiency Agreement (“Agreement”) is made and entered into this day of , 2010 and shall become effective on the first day of the “Term” (as that term is defined in Section 2.1 below) by and between (“Shipper”), and Magellan Pipeline Company, L.P., a Delaware limited partnership (“Magellan”). Shipper and Magellan are sometimes hereinafter referred to individually as a “Party” or collectively as the “Parties”.
