THIS LOAN AGREEMENT, dated as of October 1, 2023 (this “Loan Agreement”), is between The Industrial Development Authority of the City of Sierra Vista (along with its successors and assigns, the “Issuer”), a nonprofit corporation designated as a political subdivision of the State of Arizona, incorporated with the approval of the City of Sierra Vista (the “City”), pursuant to the provisions of the Constitution of the State of Arizona and under Title 35, Chapter 5, Arizona Revised Statutes, as amended, and The Delta Academy (the “Borrower”), a Nevada nonprofit corporation that operates charter schools established under Nevada Revised Statutes 388A.010 et seq.
