This Allocation Agreement dated as of December 21, 2021 (as amended, restated, or otherwise modified from time-to-time, this “Agreement”) is by and among United States International Development Finance Corporation (“DFC”), Development Finance Institute Canada (DFIC) Inc. (“FDC” and, together with DFC, each a “Credit Provider” and collectively, the “Credit Providers”), MFX Solutions, Inc. (“MFX”) and MFX Solutions, LLC (“Sponsor”, and collectively with MFX, the “MFX Parties”). Capitalized terms herein shall have the meanings set forth on Schedule 1 hereto.
