This Second Amendment (“Amendment”) to the Amended and Restated Limited Liability Company Agreement dated February 3, 2006, as amended by Amendment No. 1 thereto dated February 25, 2010 (as amended, the “Original LLC Agreement”) of Regency GP LLC, a Delaware limited liability company (the “Company”) is dated August 10, 2010. Defined terms used in this Amendment shall have the meanings ascribed thereto in the Original LLC Agreement.
