This Payment in Lieu of Taxes Agreement (“Agreement”) is made as of the day of December, 2014, by and between the City of Salem, a municipal corporation and body politic of the Commonwealth of Massachusetts, acting by and though its Mayor and City Council (the “City”) and Footprint Power Salem Harbor Development LP, a Delaware limited partnership (“Footprint”), each individually a “Party” and collectively, the “Parties.”
