The undersigned, on behalf of D.A. Davidson & Co. (the "Underwriter"), offers to enter into this Bond Purchase Agreement (this "Purchase Agreement") with Summerville Union High School District (the "District"), which, upon acceptance hereof by the District, will be binding upon the District and the Underwriter. This offer is made subject to the written acceptance of this Purchase Agreement by the District and delivery of such acceptance to us at our office prior to 11:59 p.m., California Time, on the date hereof. All terms used herein and not otherwise defined shall have the respective meanings given to such terms in the Bond Resolution (as hereinafter defined).
