The Purchaser wishes to purchase from the Company, and the Company desires to sell to the Purchaser, substantially all of the assets of the Company. The purchase and sale of the assets and the other transactions contemplated hereby are sometimes collectively referred to herein as the “Transactions”. The Sellers are the principal owners of the Company and will benefit substantially from the Transactions.
