THIS JOINT OWNERSHIP AGREEMENT (the “Agreement”) is made as of this 6th day of April, 2006 (the “Effective Date”), between Ameren Illinois Company, d/b/a/ Ameren Illinois, an Illinois corporation having a principal place of business at 300 Liberty Street, Peoria, IL 61602 and Ameren Transmission Company of Illinois (“Transco”), an Illinois corporation with a principal place of business at 1901 Chouteau Avenue, St. Louis, Mo. 63103 (Ameren Illinois and Transco are jointly referred to “Owners” and singularly referred to as an “Owner”).
