THIS TAX COMPLIANCE AGREEMENT (the “Tax Agreement”), is being executed as of June 27, 2019 (the “Closing Date”), by the School District of Clayton, St. Louis County, Missouri (the “Lessee”), for the benefit of Clayton Holdings, LLC (the “Lessor”), in connection with that certain Lease Purchase Agreement dated as of June 1, 2019 (the “Lease”), entered into by and among Lessee and Lessor. This Tax Agreement further given for the benefit of any firm of attorneys providing an opinion to Lessor as to the exclusion of the Interest Portion of Rental Payments on the Lease from gross income for federal income tax purposes.
