This Subscription Agreement applies to the offering of shares (the “Shares”) of StepStone Private Infrastructure Fund (the “Fund”). Only prospective investors who certify they are an “Accredited Investor” within the meaning of Rule 501 of Regulation D under the U.S. Securities Act of 1933, as amended (the “Securities Act”) may purchase Shares. If you are purchasing Shares in your Individual Retirement Account (an “IRA”) or other custodial account, the Subscription Agreement must also be signed by the qualified custodian or trustee of the IRA.
