AMENDMENT NO. 1 Dated as of October 17, 1995 to AGREEMENT AND PLAN OF MERGER Dated as of September 8, 1995 THIS AMENDMENT NO. 1 ("Amendment") is executed as of the 17th day of October, 1995, by and among Financial Benefit Group, Inc., a Delaware corporation, AmVestors Financial Corporation, a Kansas corporation ("Parent"), and AmVestors Acquisition Subsidiary, Inc., a Delaware corporation and a wholly-owned subsidiary of Parent. WITNESSETH: WHEREAS, the parties hereto have entered into that certain Agreement and Plan of Merger dated as of September 8, 1995 (the "Merger Agreement"); and WHEREAS, the parties desire to amend the Merger Agreement in certain limited respects.
