This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of October 9, 2005 (the “Effective Date”), between Navigator Telecommunications, LLC (“Navtel”), a Limited Liability Company organized under the laws of the State of Arkansas, with offices at 8525 Riverwood Park Drive, North Little Rock, AR 72113 and Verizon North Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and Navtel may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
