Genuity Capital Markets (“Genuity”) understands that Silver Wheaton Corp. (the “Corporation”) is making a proposal (the “Proposal”) to the holders of its Warrants (as defined below) (the “Warrantholders”) to incent the early exercise of the Warrants during a period of 20 business days (the “Early Exercise Period”) following the date of the requisite approval of the Warrantholders of certain amendments (the “Warrant Amendments”), as described in the Final Prospectus (as defined below), to the respective Original Warrant Indentures (as defined below) governing the Warrants by supplemental warrant indentures (collectively the “Supplemental Warrant Indentures”). The Original Warrant Indentures and the Supplemental Warrant Indentures are hereinafter collectively referred to as the “Warrant Indentures”.
