This Professional Services Agreement, including any exhibits, schedules, appendices and addenda (collectively, the "Agreement") is between Heinle Solutions Inc. ("CoGuard") based in Waterloo, Ontario, Canada and the individual or entity signing any Statement of Work (SOW), or any Order Form, that references this Agreement ("Customer"). This Agreement is entered into (the "Effective Date") on the earlier of (a) CoGuard's acceptance of an Order Form referencing this Agreement, or (b) CoGuard and Customer executing a SOW referencing this Agreement.
