(“Agreement”) is made and entered into this 31st day of August 2023, by and among Sunrise Wind LLC, a limited liability corporation organized and existing under the laws of the State of Delaware (“Developer” with a Large Generating Facility), the New York Independent System Operator, Inc., a not-for-profit corporation organized and existing under the laws of the State of New York (“NYISO”), and Long Island Lighting Company d/b/a LIPA, a subsidiary of the Long Island Power Authority (“Authority”), which is an instrumentality and political subdivision of the State of New York (“Connecting Transmission Owner”). Developer, the NYISO, or Connecting Transmission Owner each may be referred to as a “Party” or collectively referred to as the “Parties.” The Parties are the only parties to this Agreement.
