This Data Processing Addendum (“DPA”) is by and between Customer on behalf of itself and Customer Affiliates as the Controller of Customer Personal Data (“Customer”) and UKG signing entity of the Agreement, UKG Inc. and UKG Affiliates, as the Processor of Customer Personal Data (“UKG”) and is an addendum to that certain services agreement by and between Customer and UKG, as amended or supplemented, (the “Agreement”). Customer and UKG are referred to individually as a “Party” and collectively as the “Parties”.
