PURCHASE ORDER TERMS AND CONDITIONS This Purchase Order is subject to the following terms and conditions. 1. PURPOSE AND USE. These Terms and Conditions (the “Terms”) apply to the purchase of items or contracting of services by Buyer. The Products or Services, as applicable, may be more fully described in the Specification (defined below). Changes to these Terms are not part of the Contract unless Buyer expressly agrees to them in writing. Section 3 describes how the Parties may enter into a binding contract for the Products or Services. Therefore, this Terms are binding and have the purpose of governing the general terms and conditions for: (i) the purchase of Products, including its replacement parts; and (ii) the contracting of Services by the Buyer, as described in this Purchase Order, the purchase, supply or services agreements, as well as any amendment to said, work orders, specific requirements, exhibits and/or shipping instructions, issued by the Buyer and addressed to the Sell
