•In the performance of my duties as a consultant to the Company, I have developed computer programs or other works of authorship described in Schedule A attached hereto (“Works”). These original Works which I created as a consultant to the Company shall be a work made for hire pursuant to the copyright and patent laws of the United States. The Company shall have the sole and exclusive right, title and interest (including trade secret, copyright and patent interests) in the Works. I agree to assign, and for no further consideration do assign, to the Company all of my worldwide right, title and interest in and to all such Works.
