This Amendment No. 1 (this “Amendment”) is made this 24th day of July 2000 (the “Effective Date”) by and between New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts., a New York Corporation (“BA”), and Metropolitan Telecommunications of Massachusetts, Inc. d/b/a MetTel, a Delaware Corporation (“MetTel”). (BA and MetTel may be referred to individually as a "Party" and collectively as the "Parties").
