Sloan, John R. Shrewsberry, C. Allen Parker, and Elizabeth “Betsy” Duke (collectively, the “Individual Defendants” and, with Wells Fargo, “Defendants”), by and through their respective undersigned counsel, and embodies the terms and conditions of the settlement of the above-captioned action (the “Action”).
