THIS AGREEMENT is entered into this day of November, 2022 between Sherman Associates Development LLC (“Sherman Associates”) and the City of Rochester, a Minnesota municipal corporation (“City”) and confirms the mutual intentions with respect to the potential development and transactions described herein between Sherman Associates and City. Sherman Associates and City are each referred to herein sometimes as a “Party” and collectively as “Parties”.
