By the terms of that certain letter agreement dated December 29, 1998 (the “Restructuring Agreement”) by and between Enron Capital & Trade Resources Corp. (“ECT”), Entex, a division of NorAm Energy Corp. (“Entex”) and Unit Gas Transmission Company (“Unit”), Entex agreed to a MaxDQ of 1,000,000 MMBtu per day for its General Service Customers (the “Basket”). Additionally, both Entex and Unit agreed that an amount up to 70,000 MMBtu per day sold to their Large Commercial and Industrial Consumers would be included in the Basket.
