This Settlement Agreement (“Agreement”) is made and entered into as of the 14th day of April, 2020 (“Execution Date”) by and between Mitsubishi Heavy Industries, Ltd, Mitsubishi Heavy Industries America, Inc., and Mitsubishi Heavy Industries Climate Control, Inc. (collectively, “MHI”), and Direct Purchaser Plaintiff (as defined in Paragraph 3), both individually and on behalf of a class of direct purchasers of Air Conditioning Systems (the “Settlement Class”), as more particularly defined in Paragraph 7 below.
