Terms and Conditions. These Standard Terms and Conditions (“Terms and Conditions”) of Imperial Wholesale, Inc. and its affiliates (“Imperial” or “Seller”), Buyer’s1 Credit Application,2 Price Quotation,3 if any, and all attachments thereto (collectively, “Agreement”) govern any and all purchases made by Buyer from Seller and are incorporated herein by reference, and set forth all Terms and Conditions under which Seller will sell Product4 to Buyer. This Agreement, and any other documents prepared by Seller for Buyer in connection with Buyer’s purchase of Product contain and represent the entire understanding between the Parties concerning the subject matter hereof, and there are no other agreements or understandings except as expressly set forth herein.
