This Continuing Disclosure Agreement (the "Agreement"), dated as of , 2019, is executed and delivered by the Texas Department of Housing and Community Affairs (the "Department") and The Bank of New York Trust Mellon Company, N.A., as Trustee, in connection with the issuance of the Department's Residential Mortgage Revenue Bonds, Series 2019A (the "Series 2019A Bonds"). The Series 2009 Bonds are being issued pursuant to a Residential Mortgage Revenue Bond Trust Indenture, dated as of November 1, 1987 (the "Master Indenture" and as amended and supplemented from time to time, collectively, the "Trust Indenture"), between the Texas Housing Agency (the "Agency") or its successor, the Department, as the case may be, and MTrust Corp or its successors, including The Bank of New York Mellon Trust Company, N.A., as Trustee, Paying Agent, and Registrar for the Series 2019A Bonds issued by the Agency or the Department thereunder (the "Trustee").
