THIS GUARANTY OF OBLIGATIONS ("Guaranty") is made and entered into as of December [ ] 2011, and is executed and delivered by Cap Gemini SA (the "Guarantor"), in favor of the State of Texas, acting by and through the Texas Department of Information Resources ("DIR"). The Guarantor and DIR shall be hereinafter referred to collectively as the "Parties" and individually as a "Party".
