This ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of May 14, 2015, by and among CORTENDO AB (publ), a Swedish company (“Buyer”), and ASPIREO PHARMACEUTICALS LTD., an Israeli company (“Seller”),and TVM V LIFE SCIENCE VENTURES GMBH & CO. KG, a German limited partnership (“TVM”) (solely in connection with Sections 6.06, 6.08, 9.10 and ARTICLE VII).
