This letter of intent (“Letter of Intent”), executed effective as of September 2, 2016 (“Effective Date”), is intended to set forth certain preliminary understandings as of the Effective Date by and between the University of South Florida Board of Trustees, a public body corporate (“University”), and H. Lee Moffitt Cancer Center and Research Institute, Inc., a Florida not-for- profit corporation organized pursuant to Section 1004.43, Florida Statutes (“MCC”), and to serve as a basis for further discussions and negotiations between University and MCC with respect to the Proposed Transaction (defined below). University and MCC are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties.”
