Alex Spizz, in his capacity as Chapter 7 trustee (the “Trustee”) in the above- captioned bankruptcy case of Ampal-American Israel Corporation (the “Debtor”) and Hermetic Trust (1975) Ltd. (“Hermetic”), Reznik Paz Nevo R.P.N. Trusts 2007 Ltd. (“Reznik”) and Mishmeret Trust Services Company Ltd. (“Mishmeret”) (collectively, the “Indenture Trustees” and, together with the Trustee, the “Parties”) , by and through their respective counsel, hereby enter into this Agreement and agree as follows:
