This agreement (“Agreement”), entered into as of July 22, 2014, confirms the terms and conditions pursuant to which CPT Holdings, Inc., a Delaware corporation (“CPT”), shall acquire from The Classic Car Show Limited, a UK company (“TCCSL”), certain distribution rights in the “Program” in the “Territory” (as such terms are defined below) subject to the terms contained herein, all as set forth below.
