Assignor agrees to sell and transfer all of its contractural rights for the purchase of the above- property to assignee pursuant to the contract with Seller, in exchange for an assignment fee equal to $ minus the purchase price as set forth in the contract. Assignee agrees to accept this transfer and to assume all responsibilities of Assignor under said contract.
