This Novation Deed (“Deed”) effective as of 29th January, 2021 (“Effective Date”), is entered into between Nordmark Arzneimittel GmbH & Co. KG, which has changed its name to Nordmark Arzneimittel Holding GmbH & Co. KG as of 22nd of December, 2020 , a company incorporated in the Germany and with its registered office at [] (“Nordmark”), and Nordmark Pharma GmbH, a company incorporated in the Germany and with its registered office at Pinnauallee 4 D-25436 Uetersen Germany (“Nordmark Pharma”); and CMS PHARMA DMCC, a company incorporated under the laws of Dubai and with its registered office at Unit No: 205-A, JBC1, Plot No: JLT-PH1-G2A, Jumeirah Lakes Towers, Dubai, UAE (“CMS DMCC”). The above-mentioned parties to this Deed can be individually or collectively referred to as a Party or Parties hereunder.
