THIS SECOND AMENDMENT AND CONSENT (this “Second Amendment”) to that certain FORBEARANCE AGREEMENT, dated as of July 6, 2014 (as amended, the “Agreement”), by and between PUERTO RICO ELECTRIC POWER AUTHORITY and SCOTIABANK DE PUERTO RICO (the “Agent”) and the LENDERS signatory hereto (each, a “Lender” and, together with the Agent, the “Lenders”) is made this 31st day of July, 2014. Capitalized terms not otherwise defined in this Second Amendment have the meanings set forth in the Agreement.
