A1. Orders. Customer agrees to purchase or lease, and Nauto, Inc. (“Nauto”) agrees to sell or provide (as applicable), the Devices (“Devices”) and, subject to payment to Nauto by Reseller of all applicable fees, the services (“Services”) identified in the order form or Statement of Work referencing this document (or to which this document is attached) executed by Customer and Nauto (each an “Order”) pursuant to the terms and conditions of this document (collectively with the Order and Attachment A, the “Agreement”). Title to and risk of loss with respect to Devices transfers to Customer upon shipment. Unless otherwise specified in this document, to the extent any provisions contained in an Order conflict with any provisions of this document, the provisions of the Order shall control with respect to such Order, but not any other Order.
